1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the website at entradesk.com (the "Website") and, together with any subscription agreement or order form, the EntraDesk business management platform (the "Platform"). The Website and Platform are provided by MODERNLMS SDN BHD ("EntraDesk", "we", "us", or "our"), a company incorporated in Malaysia.
By accessing the Website or using the Platform, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use our services.
2. The services
EntraDesk is an AI-driven business management platform that unifies modules such as sales, support, HR, training, marketing, and operations. Access to the Platform is provided under a subscription. Where a separate written agreement (such as a master subscription agreement or order form) exists between you and us, that agreement prevails over these Terms to the extent of any conflict regarding the Platform.
3. Accounts and registration
To use the Platform you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account. We recommend enabling two-factor authentication.
4. Acceptable use
You agree not to, and not to permit anyone to:
- Use the Website or Platform in violation of any applicable law or regulation;
- Upload or transmit malicious code, or attempt to probe, scan, or breach the security of our systems;
- Access or attempt to access another customer's data or environment;
- Reverse engineer, decompile, or copy the Platform, except as permitted by law;
- Resell, sublicense, or provide the Platform to third parties except as expressly agreed;
- Use the services to send spam or unlawful communications;
- Interfere with or disrupt the integrity or performance of the services.
We may suspend or terminate access for violations of this section, with notice where practicable.
5. Your data
As between you and EntraDesk, you retain all rights to the data you or your users submit to the Platform ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the services. We handle personal data as described in our Privacy Policy, and we protect Customer Data using the measures described on our Security page, including isolated per-client environments and encryption in transit and at rest.
You are responsible for the accuracy and legality of Customer Data and for ensuring you have the rights and consents needed to submit it to the Platform.
6. Intellectual property
The Website, the Platform, and all related software, designs, logos, and content (excluding Customer Data) are owned by MODERNLMS SDN BHD or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred. Feedback you provide about our services may be used by us without restriction or obligation.
7. AI features
The Platform includes agentic AI features that can automate actions and generate content or recommendations. AI output may contain errors and should be reviewed before being relied upon for significant decisions. You remain responsible for decisions made and actions taken based on AI output within your environment.
8. Fees and payment
Subscription fees, billing frequency, and payment terms are set out in the applicable order form or subscription agreement. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes, which you are responsible for paying.
9. Third-party services
The services may interoperate with third-party products (for example identity providers or integrations you enable). We are not responsible for third-party products, and your use of them is governed by their own terms.
10. Disclaimers
The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Content on the Website is for general information only and does not constitute professional advice. Any uptime or support commitments for the Platform are those stated in the applicable subscription agreement.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill; and (b) our total aggregate liability arising out of or relating to the Website or these Terms will not exceed the amounts paid by you to us for the Platform in the twelve (12) months preceding the event giving rise to the claim, or, for Website-only visitors, one hundred Malaysian Ringgit (RM100). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnification
You agree to indemnify and hold EntraDesk harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your unlawful use of the services.
13. Term and termination
These Terms apply while you use the Website or Platform. Subscription terms and renewal are governed by the applicable order form. We may suspend or terminate access immediately for material breach, unlawful use, or risk to the security of the services. Upon termination of a subscription, we will make Customer Data available for export as described in the subscription agreement, after which it will be deleted from our systems.
14. Governing law and jurisdiction
These Terms are governed by the laws of Malaysia, without regard to conflict of laws principles. The courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party submits to that jurisdiction.
15. Changes to these terms
We may revise these Terms from time to time. The "Last updated" date at the top of this page shows when they were last changed. Material changes will be notified on the Website or, for Platform customers, by email or in-app notice. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
